Your Role
The Senior Attorney managing marketing and business transactions will interface with business partners at all levels and across multiple brands and functions, in primary support of business initiatives. In particular, the individual will provide trusted advice to the Marketing, Public Relations, Brand and Paid Media teams. The Senior Attorney will be an operational partner who is well-versed in advising and counseling clients on complex business and legal matters related to digital marketing, advertising, and paid media. This role will report directly to the Vice President, Legal.

Your Impact
Key responsibilities and areas of focus include, but are not limited to:

Review, draft, and negotiate digital media agreements, co-marketing agreements, celebrity/influencer engagements, technology agreements, licensing and subscriptions agreements, confidentiality agreements, and other business and legal documents

Review existing contractual agreements and provide guidance on rights and obligations

Understand the digital marketing and paid media ecosystems, addressing legal and privacy issues surrounding marketing technologies and social media platforms

Operate as a key liaison between the business unit and other supporting, cross-functional business partners

Lead negotiations that are business critical, complex and/or sensitive in nature

Engage and manage projects and initiatives via outside counsel

Effectively interpret regulations, policies and statutes

Provide guidance, interpretation and development to a supporting team of paralegals, attorneys and/or outside counsel

Update contract templates and procedures while demonstrating the ability to create and implement process efficiency for internal contract management

Manage workloads, multiple client demands, and shifting priorities within a fast-paced, dynamic environment

Minimum Salary : $148,000.00
Maximum Salary : $209,790.00
VS&Co provides an estimated range of compensation for this role as shown. Your actual compensation will be determined by a number of relevant factors, including but not limited to your specific skills, experience, & geographic location.
Your Experience
- Juris Doctor degree from an accredited law school
- Must be a member of the Ohio bar or a licensed attorney who will obtain Ohio bar membership
- Minimum of 7 years of experience with a law firm and/or in-house counsel in the field of business and commercial contracting with particular emphasis on digital and paid media marketing
- Proven experience supporting business partners in procurement services, public relations, and digital marketing services

Proven experience drafting and negotiating commercial contract terms and conditions including deliverables, terms and conditions of sale, fees,
indemnification and limitation of liability, data security, confidentiality and termination rights
- Experience representing and advising retail clients
- Experience with contracts-related customer data, data privacy, and artificial intelligence
- Demonstrated ability to lead, advise and develop a team
- Proficient in Microsoft Office suite including Outlook, Word, PowerPoint, Excel and Access
- Strong verbal and written communication skills including presentation and negotiation skills
- Strong relationship building skills across multiple leaders, layers and cross-functional business partners
- Departmental and cross-functional team player
- Strong organizational skills with the ability to manage a large volume of work and meet critical timelines in a fast-paced environment
- Takes independent and decisive action while maintaining flexibility to prioritize and handle multiple tasks and work streams
- Effectively manages risk/reward to each situation based on comprehension of the law as well as internal business objectives
- Ability to operate in a thorough and accurate manner
- Conduct all work in an ethical, professional and confidential manner
